Cheer Boosters of Palm Desert Bylaws

Article I – Information
1.1 Name: The name of the organization shall be the Cheer Boosters of Palm Desert. (CBPD).
1.2 Statement of Purpose: The specific purpose of the organization shall include without limitation, for CBPD to assist by providing financial assistance through fundraising projects and activities that promote and support the development of good sportsmanship, squad unity, and mutual respect.
1.2.1 The CBPD will raise money for the purpose of scholarships, offsetting all cheerleaders equally, annual costs and funding the program itself. The programs cost could include, but are not limited to, stipend pay to coaches, accessories for the squads, promotion of fundraising events.
1.2.1.1 All expediters require simple majority vote of the available board members. Voting can take place orally, such as a conference call, electronic communication, such as email, or face to face, with all expenditures reported at the next public board meeting.
1.2.2 The CBPD shall specifically refrain from being involved in or attempting to intervene in any decisions concerning:
a. Selection of captains or co-captains
b. Performances
c. Routines, formations, stunts and choreography
1.2.3 Uniforms: The CBPD will give coaches approval on quantity and costs. The coaches will pick out said uniforms with the boards approval based on school colors, modesty and school appropriate attire. The Vice-Principle of Activities will assist in all uniform matters. No uniform will be approved with year personalization on them. A minimum of three bids is required, with samples for consideration of approval.
1.3 All cheerleaders receiving free or reduced lunches through the school district will be offered a scholarship to non-school events upon written request and release from the parent(s) and verification from the District of eligibility.
1.4 Parents are solely responsible for any additional costs incurred related to cheerleader participation in non-school events. The offset provided by the CBPD through fundraising can assist parents in minimizing associated costs.
1.4.1 Parents will be notified of the costs of expenses related to participation in non-school events are required to submit payment within 30 days of notification.
1.5 All fourth (4) year cheerleaders in good standing are eligible for an end of year scholarship.
1.6 All cheerleaders that meet the minimum requirement set forth by the booster club will have their fundraising dollars to off set competition fees and related costs.
1.6.1 Cheerleaders whose expenses are offset by the foundation and fundraising are required to participate in all competitions, banquets, summer events funded by the booster or any extra curricular events above and beyond school events or risk losing their scholarship for the school year.
1.7 School events are defined as, but are not limited to, games, assemblies, back to school night and other school sponsored activities that are paid for by the District.
Article II- Responsibilities
2.1 The CBPD is dedicated to charitable purposes. No part of the net income or assets of the Organization shall benefit of any of its Directors or Officers, or benefit of any individual person, except that the Organization is authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions set forth by our statement of purpose.
2.2 The Directors and/ or Executive members shall not be personally liable for the debts, liabilities, or other obligations of the Organization or CBPD.
Article III – Directors and Officers of CBPD
3.1 Members: The Organization shall have no members within the meaning of section 5056 of the California Nonprofit Organization Law.
3.2 Non-Voting Members: The CBPD may adopt policies and procedures for the admission of associate members or other designated members who shall have no voting rights in the Organization. Such associate or other members are not “members” of the Organization as defined in section 5056 of the California Nonprofit Organization Law.
3.3 The authorized number of directors of the Organization shall not be less than 5 (five) nor more than 9 (nine).
3.4 The directors/ executive committee shall be a Director, President, Vice-President, Treasurer, and Secretary.
3.5 The Executive Committee shall be elected at each annual meeting of the Board for 2 (two) year terms. Each Director, including a Director elected to fill a vacancy, shall hold office until the expiration of the term for which he or she was elected and until the election and qualification of a successor, or until that Director’s earlier resignation or removal is accordance with these Bylaws and California Nonprofit Organization Law. By resolution, the Board may arrange for terms to be staggered.
3.6 Vacancies: The Vice-President will assume responsibilities of the President. An election will be held at the next following CBPD meeting if a vacancy exists for all other offices.
Major Duties of Officers
Director
*Oversees and helps control flow of all board meetings.
*Assists the President with agenda items.
*Can step in to fulfill any vacant positions temporarily.
President
*Preside at all committee meetings
*Appoint chairpersons of subcommittees
*Serve as committee spokesperson.
*If no other person is designated as the chief executive, the President shall, in addition, be the chief executive and shall have the powers and duties prescribe.
Vice-President
*Assist the President and in his/her absence serve as President.
*Assume position of President in the event the President leaves the organization.
*Be in charge of fundraising and all events related to fundraising.
Secretary
*Record minutes of all committee meetings.
*Receive and transmit committee correspondence and materials designated by members.
*Serve in absence of Treasurer.
*Send correspondence at direction of committee.
Treasurer
*The Treasurer shall keep and maintain adequate and correct books and records of accounts of the properties and transactions of the Organization, including accounts of its assets, liabilities, receipts, disbursements, gains, losses, capital, retained earnings, and other matters customarily included in financial statements.
*Issue receipts of Organization and disburse funds by check upon order of the President acting with approval of executive committee.
*Have records open, current and ready for inspection by the President and executive committee at all times.
*Serve in absence of Secretary.
*All checks will be co-signed by Treasurer and Director unless otherwise directed by bylaws.
*Oversee collection of funds for special gifts.
*Receive and submit to executive committee all requests for reimbursement from CBPD or parents.
3.7 Compensation of Officers-there will be no salaries or monies paid to any board members. Furthermore, no payouts can be made to any family members either board members or coaches for any services rendered.
Article IV- Meetings
4.1 CBPD shall meet regularly during the school year for the purpose of planning, coordinating fundraising events for the PDHS Cheer Team, executive committee meetings, and parent meetings with dates to be established at the beginning of each school year.
4.2 Meeting notices: a calendar will be established annually at the beginning of each school year with the business meeting dates and times. Notice of all regular meetings shall be in writing. Notices will state the date, time and location. Notice will be available to the public within 2 weeks of open board meetings.
4.3 A majority of the Committee members shall constitute a quorum for the transaction of Committee business, except to adjourn. A majority of the Committee members present, whether or not constituting a quorum, may adjourn any meeting to another time and place.
4.3.1 Every act taken or decision made by a majority of the Committee members present at a meeting duly held at which a quorum is present shall be regarded as an act of the Committee, subject to the provisions fo the California Nonprofit Organization Law relating to actions that require a majority vote of the entire Board.
4.4 Meeting records: A copy of the minutes of the CBPD minutes shall be available to all in the Vice-Principal of Activities office.
4.5 A parent may request, in writing, a copy at any time of the most recent treasury report submitted by the treasurer at a regularly scheduled CBPD meeting and the President will make it the report available within 30 days.
4.5.1 If a parent makes a written request for a more detailed accounting report, the parent shall state the purpose of the request and the desired goal, so that if the Executive Committee chooses to honor that request, minimal volunteer time is spent gathering accounting records.
4.5.1 If additional records are requested in writing, related to provision 4.5.1, the family member will be charged nominal fee of copying costs and customary expenses fort the time incurred to respond and implement the request using the standard District rate for public records request.
4.6 Special meetings may be called by the Director or President or at the request of a majority vote of the CBPD.
4.7 Concerns: All issues of noncompliance or concern (alleged or actual) brought forth to the CBPD must be documented and submitted to the CBPD utilizing an open forum form, outlining the areas in which there is concern. The CBPD will review the concern and respond at the next public board meeting.
4.8 No letters or personally presented statements of concerns against individuals will be heard by the CBPD.
4.9 All members will encourage a positive atmosphere during any CBPD event, activity, or where members are representing or acting on behalf of the CBPD. This includes family members present at all open board meetings.
Article V- Amendments
5.1 CBPD's bylaws will be reviewed at the fall meeting of every year.
5.2 Bylaws may be amended or repealed with the approval of the members from the CBPD by a vote of the majority of the members present at the regularly scheduled fall meeting.
5.3 A time for discussion of the proposed bylaw revision(s) or amendment(s) shall be included on the agenda for general membership meetings.
5.4 Bylaw revisions or amendments shall be voted on by article or section in accordance with Article V of these bylaws.
5.5 Revisions or amendments to these bylaws shall become effective immediately upon their adoption.
5.6 In the event any part of these bylaws becomes inconsistent, illegal or in conflict with any existing authority or legal requirement, the CBPD shall respond promptly.
5.6.1 The section in question shall be fully severable from the body of the bylaws and shall in no way affect the authority and enforceability of the remaining sections of the bylaws.
5.6.2 Within thirty (30) days, a CBPD sub-committee shall be formed to propose the necessary changes/provisions.
5.6.3 The CBPD shall act promptly to adopt such changes/provisions.
5.7 A current copy of the CBPD approved bylaws shall be available at all regular meetings and made available to its membership upon request.
